TRANSPORT CONDITIONS

Time of Delivery
Any delivery dates specified by Quinze & Milan will be deemed to be estimates only. Under no circumstances shall Quinze & Milan have any liability whatsoever for loss of use or for any direct, indirect or consequential damages regardless of the reasons. By placing an order, the Buyer agrees that the time of delivery of the Products is not of the essence, and waives any and all claims arising from any delay in delivery. Quinze & Milan reserves the right to discontinue particular Products or lines in response to production and market requirements and demands. The Buyer waives any and all claims which the Buyer might otherwise have for delay or failure of delivery arising out of exercise by Quinze & Milan of any of its rights pursuant to these General Condition of sale, including, without limitation, any claims for direct, incidental, consequential or other damages. Quinze & Milan shall not be liable for any delay in delivery, or failure to deliver, due to any cause beyond Quinze & Milan’s control, including but not limited to, fires, floods, strikes, or other labor disputes, accidents to machinery, availability of materials, acts of sabotage, riots, laws, statutes, ordinances, rules or regulations, restrictions imposed by the federal or any state government or any subdivision or agency thereof, delay in transportation or lack of transportation facilities.

Shipping
All orders are shipped surface or sea transportation with the risk of loss for the Products passing to Buyer upon delivery to carrier from Quinze & Milan factory or warehouse. Quinze & Milan will select method of shipment. All delivery/ ship dates are approximate only. Buyer may select alternate shipping method (e.g. air freight),additional charges other than those normally incurred by Quinze & Milan’s method of shipping will be at the Buyer’s expense. Quinze & Milan will calculate and bill additional charges at the time of shipment. Complete shipping instructions should be given at the time the order is placed. Quinze & Milan will not be liable for delay in shipment or delivery of the order or for damages claimed to the result from such delay. Buyer bears the risk of loss or damage during shipment.

Failure to Pick Up / Accept Products
It is the Buyer’s responsibility to pick up the goods as soon as it is notified by Quinze & Milan of their availability. Any costs or expenses incurred by Quinze & Milan (including, but not limited to, demurrage charges, warehousing costs and transportation) as a result of the Buyer’s failure to pickup/accept the Products by the date specified by Quinze & Milan, will be charged to the Buyer.

Storage
If the Buyer will not accept delivery of Merchandise when Quinze & Milan is ready to make shipment, Quinze & Milan may transfer the merchandise to storage 15 days from originally acknowledged ship date. Transfer, storage and insurance costs will be at the Buyer’s expense. Quinze & Milan will consider such a transfer as delivery for all purposes including invoicing and payment. Buyer bears the risk of loss or damage during storage.

Claims
Quinze & Milan carefully inspects, packs and delivers furniture in good condition to the carrier who accepts it only in good condition and agrees to deliver it to Buyer in good condition. Upon receipt of Product, Buyer shall carefully inspect the Product for completeness and product integrity. Any damage, or quantity discrepancies must be noted upon receipt of order with the carrier. Product with obvious damages may be refused by the Buyer. Any claim by the Buyer of any and every kind must be made in writing dispatched to Quinze & Milan by certified mail, return receipt requested, not later than 3 days from the date of delivery of the Products with respect to which the claim is made. Failure to make any claim in such manner, or within such 3 day period shall constitute an irrevocable acceptance of the products and an admission by the buyer that the Products fully comply with all terms, conditions and specifications of this order.
